Terms of Sale
These terms govern the sale of goods by Priansi Limited (the “Seller”) to a customer (the “Buyer”). By placing an order you agree to them.
1.Goods and pricing
The Seller offers high-quality office equipment, ergonomic furniture and accompanying interior elements (the “Goods”) in the quantity, assortment and at the prices set out on this website and confirmed in the Tax Invoice issued for your order.
All prices are shown in Pounds Sterling (GBP). Value Added Tax is charged at 0.00% in accordance with applicable tax legislation. The price stated on your invoice is fixed and is not subject to change except by mutual written agreement.
The Seller warrants that the Goods are its absolute property and are free from any lien, charge, encumbrance or third-party claim.
2.Orders and invoicing
Placing an order at checkout generates a Tax Invoice setting out the Goods ordered, the total payable and a payment due date. This constitutes the Seller's offer to sell on these terms.
The Buyer is responsible for ensuring that the delivery details provided are accurate and complete.
3.Payment terms
Payment is made by bank transfer in Pounds Sterling (GBP) on a 100% advance basis. The Buyer undertakes to pay the full invoice amount on or before the due date shown on the invoice.
Bank transfer details are provided to the Buyer separately once the order is confirmed. The Buyer's payment obligation is fulfilled on the date the funds are fully credited to the Seller's bank account.
If payment is not made by the due date, the Seller may charge a penalty of 0.1% of the unpaid amount for each day of delay, capped at 5% of the total contract price.
4.Delivery
Delivery is arranged and paid for by the Seller (or, by agreement, via a designated courier) to the address provided by the Buyer.
The delivery period does not exceed 10 business days from the date the Seller receives cleared payment in full, unless otherwise agreed in writing.
Risk of loss or damage passes to the Buyer on handover of the Goods. Title passes to the Buyer once the Goods are delivered and the contract price has been paid in full.
5.Quality and warranty
The Goods comply with the technical standards of their respective manufacturers and are covered by the full official manufacturer's warranty. Technical documentation, warranty certificates and user manuals are supplied in English.
If a defect is discovered on delivery or during the warranty period, the Buyer must send a written claim to the Seller within 3 business days of discovery, with photographic or video evidence. The Seller will remedy the defect or replace the Goods at its own expense within 20 calendar days of receiving a justified claim.
6.Liability and force majeure
Neither party is liable for failure to perform its obligations due to circumstances of force majeure — extraordinary events beyond reasonable control, including natural disasters, epidemics or acts of state authorities.
Penalties payable under these terms do not relieve either party from performing its obligations in full.
7.Governing law
The parties will seek to resolve any dispute through friendly negotiation and the exchange of written claims, each claim to be considered within 10 business days of receipt.
These terms, and any dispute arising from them, are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
